Agent Service Terms & Conditions
Terms governing use of Prevou's AI-powered estate agency platform, services, subscriptions, and data processing.
Last Updated: May 2026These Agent Service Terms & Conditions ("Terms") apply to estate agents, letting agents, property professionals, and related businesses ("Agent", "you", "your") who access or use the services provided by Prevou ("Prevou", "we", "us", "our").
These Terms apply in addition to the Prevou Website Terms & Conditions, Privacy Policy, Data Processing Addendum (DPA), and any commercial agreement, onboarding flow, order form, proposal, or pricing plan agreed between Prevou and the Agent.
By accessing, onboarding to, activating, registering for, paying for, or using the Services, you agree to be bound by these Terms.
1. Engagement & Acceptance
You accept these Terms by the earliest of:
accepting these Terms during onboarding or sign-up;
submitting payment details or authorising payment;
accessing or using the Services;
requesting activation or onboarding of the Services;
instructing Prevou verbally, electronically, or in writing to commence Services;
continuing to use the Services after notification of updated Terms.
If you are entering into these Terms on behalf of a business entity, you confirm that you have authority to bind that entity.
You must ensure that all authorised users accessing the Services comply with these Terms.
2. About Prevou
Prevou is a technology provider offering AI-powered software tools designed to assist with:
- handling property enquiries;
- conversational property search;
- lead capture and pre-qualification;
- booking requests and scheduling workflows;
- AI-powered customer engagement;
- AI voice and messaging workflows;
- automated communications and integrations.
Prevou does not act as:
- an estate agent;
- letting agent;
- broker;
- legal adviser;
- financial adviser;
- mortgage adviser;
- property valuer;
- negotiator;
- fiduciary;
- regulated intermediary.
3. Scope of the Services
Prevou provides automated AI-powered assistive software services only.
The Services may include:
- AI chat interactions;
- AI voice interactions;
- conversational property search;
- lead capture;
- property matching;
- booking workflows;
- integrations;
- reporting and analytics;
- messaging and notifications;
- conversational automation.
Prevou does not:
- verify property information;
- confirm property availability;
- guarantee suitability or accuracy of listings;
- negotiate transactions;
- provide legal or financial advice;
- provide regulated services.
All outputs generated through the Services are automated and may contain inaccuracies, omissions, delays, or outdated information.
4. AI Limitations & No Reliance
Important — AI Limitations
You acknowledge and accept that:
AI-generated outputs may be inaccurate, incomplete, misleading, or outdated;
responses are generated automatically and are not generally human-reviewed;
AI outputs may vary over time;
AI systems may evolve, change, or behave unpredictably.
All outputs generated through the Services are informational only.
You remain solely responsible for independently verifying all information before relying upon it.
Prevou makes no warranties regarding:
- accuracy;
- completeness;
- reliability;
- availability;
- suitability;
- conversion outcomes;
- customer behaviour.
Prevou shall not be responsible for decisions, actions, omissions, losses, disputes, or liabilities arising from reliance upon AI-generated outputs.
5. Platform Role & Responsibility Allocation
Prevou operates solely as a technology platform.
The Agent retains full responsibility for:
- customer relationships;
- property information;
- negotiations;
- legal compliance;
- representations;
- communications;
- tenancy or sales decisions;
- regulatory obligations.
Use of the Services does not transfer any estate agency, advisory, fiduciary, regulatory, or legal responsibility to Prevou.
6. Agent Responsibilities
The Agent remains fully and solely responsible for:
the accuracy and legality of all property information supplied;
compliance with all applicable laws and regulations;
compliance with estate agency regulations;
obtaining all required permissions, notices, and lawful bases for data processing;
all statements, representations, and commitments made to customers;
customer verification and due diligence;
regulatory compliance including AML, KYC, consumer protection, advertising standards, and property particulars compliance.
Prevou does not audit, validate, monitor, or verify Agent-provided information.
7. Registration, Accounts & Security
Access to the Services may require account registration.
You are responsible for:
- maintaining confidentiality of login credentials;
- ensuring authorised access only;
- securing connected systems and integrations.
You must notify Prevou immediately of any suspected unauthorised access or security breach.
Prevou may suspend access where unauthorised access, misuse, fraud, or security risks are suspected.
8. Platform Access & Licence
Subject to compliance with these Terms, Prevou grants the Agent a limited, non-exclusive, non-transferable, revocable licence to access and use the Services during the active subscription term.
The Agent must not:
- reverse engineer the Services;
- copy or replicate functionality;
- scrape or extract data unlawfully;
- attempt to access source code;
- circumvent security restrictions;
- use the Services to build competing products;
- interfere with platform operations.
Prevou reserves the right to restrict or revoke access where misuse is suspected.
9. Changes to the Services
Prevou may modify, update, improve, replace, suspend, or discontinue features of the Services from time to time.
AI models, workflows, integrations, features, and functionality may evolve over time.
Prevou may introduce beta features, experimental functionality, and early-access tools. These are provided on an "as is" basis without warranties and may be modified or withdrawn at any time.
10. Fees, Plans & Billing
Recurring Billing & Minimum Terms
Fees, setup costs, subscription plans, usage allowances, and billing terms are governed by the selected package during onboarding or sign-up.
Unless otherwise agreed in writing, Prevou currently offers:

By completing onboarding, the Agent confirms acceptance of the selected package, recurring billing, applicable setup fees, minimum contract term, VAT obligations, and billing structure.
Subscription fees are billed in advance. By completing onboarding and providing payment details, the Agent expressly authorises Prevou to collect recurring subscription fees, setup fees, usage charges, renewal charges, and any applicable VAT using the payment method provided.
Fees are non-refundable unless otherwise agreed in writing.
Prevou may suspend Services for failed payments, chargebacks, payment disputes, or overdue invoices.
Prevou may amend pricing for future renewals or future customers upon reasonable notice.
11. Service Availability & Maintenance
Prevou will use commercially reasonable efforts to maintain service availability.
The Services may occasionally be unavailable due to maintenance, updates, third-party outages, infrastructure failures, security incidents, or force majeure events.
Prevou does not guarantee uninterrupted or error-free availability. Scheduled maintenance may occur periodically.
12. Intellectual Property
All intellectual property rights in the Services — including software, conversational workflows, AI systems, prompts, interfaces, designs, branding, code, analytics, and documentation — remain the exclusive property of Prevou.
No ownership rights transfer to the Agent. The Agent may not reproduce, modify, distribute, sell, sublicense, or create derivative works from the Services.
13. Confidentiality
Each party agrees to treat all confidential information as confidential, including software, pricing, customer data, onboarding materials, technical information, business processes, and AI workflows.
Confidential information must not be disclosed except with consent, where legally required, or to professional advisers under confidentiality obligations. Confidentiality obligations survive termination for five (5) years.
14. Data Protection
Data Protection
For personal data processed through the Services on behalf of the Agent: the Agent acts as Data Controller and Prevou acts as Data Processor.
Prevou processes personal data solely for the purpose of providing the Services. Further data protection obligations are set out in the Prevou Data Processing Addendum (DPA), which forms part of these Terms.
15. Third-Party Providers & Integrations
Prevou may rely upon third-party providers including AI providers, cloud hosting providers, analytics providers, messaging providers, telephony providers, payment providers, and integrations.
Prevou is not responsible for failures, outages, delays, inaccuracies, or interruptions caused by third-party systems.
16. Limitation of Liability
Limitation of Liability
To the fullest extent permitted by law, Prevou shall not be liable for loss of profits, loss of revenue, loss of commissions, loss of business, loss of goodwill, customer disputes, missed bookings, indirect or consequential losses, reputational damage, or loss arising from AI inaccuracies.
Prevou's total aggregate liability shall not exceed the total fees paid by the Agent during the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
17. Indemnity
The Agent agrees to indemnify and hold harmless Prevou against claims, losses, damages, liabilities, costs, and expenses arising from inaccurate property information, regulatory breaches, customer disputes, misuse of the Services, breach of data protection laws by the Agent, unlawful customer communications, or violations of applicable laws.
18. Suspension & Termination
Minimum Terms & Cancellation
Prevou may suspend or terminate Services where reasonably necessary including for non-payment, misuse, fraud, security concerns, unlawful activity, or material breach.
The Agent may provide written notice to cancel the Services at any time. However, cancellation shall not take effect until the end of the applicable minimum subscription term or current renewal period.
The Agent remains responsible for all fees, charges, and payment obligations due during the applicable minimum subscription term, regardless of reduced usage, suspension of use, or early cancellation notice.
Following expiry of the applicable minimum subscription term, the Services shall automatically renew on a rolling monthly basis unless either party provides not less than thirty (30) days written notice prior to the next billing date.
Where cancellation notice is provided during a minimum subscription term, the Services and billing shall continue until the end of that committed term.
Upon termination: access rights cease, outstanding fees remain payable, and certain clauses survive termination.
19. General
Prevou may assign its rights and obligations under these Terms. Failure to enforce any right shall not constitute waiver. If any provision is unenforceable, the remaining provisions continue in force.
These Terms constitute the entire agreement unless supplemented by written commercial agreements. Order of precedence: (a) signed commercial agreement; (b) order form or onboarding selection; (c) DPA; (d) these Terms; (e) website materials.
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
Prevou may use the Agent's name, logo, and brand identity for reasonable marketing, promotional, investor, portfolio, and customer reference purposes unless otherwise agreed in writing.
The Agent agrees that electronic records, onboarding logs, payment records, acceptance timestamps, checkbox confirmations, system records, and digital communications may be relied upon as evidence of acceptance of these Terms and related commercial agreements.
20. Definitions
Note on Attachments
The following attachments form part of these Terms and should be read together with the main agreement.
Data Processing Addendum (DPA)
1. Roles
The Agent acts as Data Controller. Prevou acts as Data Processor.
2. Nature of Processing
Prevou may process personal data for:
- property enquiries;
- conversational workflows;
- viewing requests;
- lead qualification;
- messaging workflows;
- reporting and analytics.
3. Categories of Personal Data
Personal data may include:
- names;
- phone numbers;
- email addresses;
- enquiry content;
- viewing requests;
- transcripts;
- voice recordings;
- IP addresses;
- technical usage data.
4. Agent Obligations
The Agent is responsible for:
- obtaining lawful bases for processing;
- providing privacy notices;
- ensuring lawful data collection and disclosure.
5. Prevou Obligations
Prevou shall:
- process data only to provide the Services;
- implement reasonable technical and organisational security measures;
- restrict access to authorised personnel.
6. Security Measures
Prevou may implement:
- encryption;
- access controls;
- password protections;
- monitoring systems;
- secure hosting infrastructure;
- role-based permissions.
7. Subprocessors
Prevou may use subprocessors including AI providers, cloud infrastructure providers, messaging providers, telephony providers, analytics providers, and payment processors. A current subprocessor list may be maintained separately by Prevou.
8. International Transfers
Where data is transferred outside the UK, Prevou shall use reasonable safeguards where required by applicable law.
9. Data Breach Procedures
Prevou shall notify the Agent without undue delay upon becoming aware of a confirmed personal data breach affecting personal data processed on behalf of the Agent.
10. Data Retention & Deletion
Prevou may retain data during the active subscription term.
Upon termination, Prevou may delete or anonymise personal data within a reasonable period unless retention is required by law, for fraud prevention, for backups, for compliance, or for legitimate business protection.
11. Liability
Liability under this DPA remains subject to the liability limitations contained in the main Terms.

Technical & Organisational Security Measures
Prevou may implement technical and organisational measures including:
- encrypted communications;
- access restrictions;
- password protection;
- role-based access controls;
- hosting security measures;
- monitoring and logging;
- secure infrastructure providers;
- backup procedures;
- internal confidentiality obligations.
Prevou may update security measures periodically to reflect evolving operational and security requirements.
By accessing or using Prevou's services, you acknowledge that you have read and agreed to these Terms.
